Unilei Customer Terms and Conditions
1 Introduction
- 1.1Unilei ApS (“Unilei”) is a Danish private limited company with the registration number 39175606. Unilei is an accredited Local Op-erating Unit ("LOU") of the Global Legal Entity Identifier System (GLEIS) and provider of LEI services to its customers in the juris-dictions set out in www.gleif.org.
These Terms and Conditions apply to all accounts and LEIs in the Unilei portal.
2 Service Delivery
- 2.1Unilei provides the LEI services (the “Services”) such as register, maintain, renew, transfer and publish Legal Entity Identifiers (LEIs) for and on behalf of customers that are legal entities, e.g., companies, organizations etc. (the “Legal Entity”).
- 2.2The LEI services are performed according to GLEIF terms and conditions.
- 2.3Unilei’s Terms and Conditions govern the use of Unilei’s Services, and is accepted by the Legal Entity when using the Services. The Service is available via the Unilei website: https://www.unilei.com.
3 New LEI issuance
- 3.1 The price and expected delivery time of issuance of New LEI is listed on the Unilei website: https://www.unilei.com.
- 3.2 Unilei performs the registration without undue delay. The Legal Entity is notified by Unilei:
- 3.2.1When the LEI is issued, available for use and made pub-licly available in the Global LEI Index hosted at website: www.gleif.org.
- 3.2.2When it is time to renew the LEI.
- 3.2.2If data is missing or needs to be verified.
4 LEI renewal
- 4.1According to GLEIF requirements, Unilei notifies the Legal Entity via email that the LEI shall be renewed each twelve (12) months to remain active.
- 4.2The information related to the LEI shall be validated and updat-ed.
- 4.3The LEI doesn’t change when renewed. When renewed, the LEI is valid for further twelve (12) months. The Legal Entity is notified when renewal is completed.
- 4.4Price and expected delivery time of LEI renewal service is listed on the Unilei website: https://www.unilei.com.
- 4.5A non-lapsed LEI shall be renewed with additional twelve (12) months from its current Next Renewal Date, no matter when the renewal is ordered (no loss of validity period).
- 4.6Unilei offers two types of renewal agreements:
- 4.6.1Single year renewal
- 4.6.2Multiple year renewal agreement.
5 Single year renewal
- 5.1In due time before renewal is required Unilei shall notify the Le-gal Entity by email regarding the need for renewal.
- 5.2Reminders of renewal shall be sent frequently until lapse of LEI to prevent unintentional LEI lapse.
- 5.3The Legal Entity is notified by Unilei when the LEI has been re-newed.
6 Multiple year renewal
- 6.1For multiple year renewal agreements, the Legal Entity is in-formed by Unilei about upcoming renewal. The Legal Entity may be requested to confirm data to complete the renewal. If re-quested to confirm data the Legal Entity shall respond according to the instruction in the request in order to ensure renewal can be completed. Lack of response may cause the LEI to lapse.
- 6.2The Legal Entity is notified by Unilei when the renewal is com-pleted.
- 6.3When the multiple year renewal agreement is about to expire the Legal Entity is notified by Unilei, and may enter into a new re-newal agreement.
- 6.4Multiple year renewal may also be ordered independently or as part of the issuance of a New LEI.
7 Transfer of LEI management to Unilei
- 7.1The transfer of LEI management to Unilei may be initiated at the Unilei website: https://www.unilei.com by selecting the transfer service. If the Next renewal Date is less than 60 days from the date of ordering the transfer service, then the Legal Entity is re-quired to renew the LEI as part of the transfer process.
- 7.2Renewal is charged according to the pricelist on the Unilei web-site: https://www.unilei.com.
- 7.3The contact information of the transfer request may be shared with current managing LEI issuer to verify the transfer request and meet the Global Legal Entity Identifier Foundation (GLEIF) requirements to the transfer process.
8 Transfer of LEI management away from Unilei
- 8.1The transfer of LEI management away from Unilei is free of charge and may be initiated via another accredited LEI issuer.
- 8.2Outstanding payments shall be settled before a transfer is com-pleted.
- 8.3GLEIF reserves the right to request transfer of the LEI to another LOU.
9 Obligations Of The Legal Entity
- 9.1With the acceptance of these Terms and Conditions the Legal En-tity and Unilei enter into an agreement where the Legal Entity authorise Unilei to manage the Legal Entity’s LEI activities, includ-ing registration, maintenance, transfer, renewal, and publishing in the Global LEI Index hosted at www.gleif.org.
- 9.2A Signee shall accept the terms and conditions on behalf of the Legal Entity. The Signee shall be duly authorised to act on behalf of the Legal Entity in all respects in relation to LEIs.
- 9.3Attestation of the authority of the Signee may be requested by Unilei.
- 9.4The Legal Entity shall provide requested information regarding the Legal Entity to Unilei. The Legal Entity is obliged to supply true, full, authentic information and that duly authorisation has been granted.
- 9.5The provided information shall be correctly dated and signed. The Unilei website facilitates this process.
- 9.6Unilei verifies whether the provided information is sufficient for the completion of the registration or renewal of the Legal Entity’s LEI Record.
- 9.7To use the Services, the Legal Entity shall provide required Legal Entity LE-Reference Data necessary for an LEI.
- 9.8Unilei may be required by mandatory law or per internal controls to change Legal Entity LE-Reference Data.
- 9.9Unilei reserves the right to contact the Legal Entity for further in-formation.
- 9.10The Legal Entity shall ensure that it only has one (1) LEI, i.e., it is prohibited from requesting a second LEI at either Unilei or any other LOU.
- 9.11The annual renewal of the Legal Entity LEI is required to update and confirm information about their company in case anything has changed, e.g., address updates, changed company name etc.
- 9.12An LEI is considered 'active' (or 'renewed') twelve (12) months from issuance or twelve (12) months from the most recent an-nual renewal.
- 9.13An active LEI is a regulatory requirement under the EU directives EMIR and MiFID II and is related to the legal transaction report-ing undertaken by banks on behalf of their clients.
- 9.14Unilei notify the Legal Entity via email. It is the Legal Entity’s re-sponsibility to ensure the provided email address is correct, valid, and able to receive emails from the Unilei.com domain.
- 9.15Proactive whitelisting of the Unilei domain at the Legal Entity mail server is recommended.
- 9.16Unless agreed otherwise, all communications shall be in English.
10 PUBLIC INFORMATION
- 10.1The Legal Entity acknowledges that all public and private-source reference data captured and received by Unilei or Unilei’s partner as part of the validation process shall, if included in the LE-Reference Data instantly, be published and searchable on Unilei’s, and GLEIF's websites as applicable.
- 10.2If a representative of a registered Legal Entity finds erroneous or fraudulent information on Unilei’s publicly available data, please contact Unilei via support@unilei.com to initiate an enquiry.
11 Legal Entity reference data accuracy
- 11.1The Legal Entity is responsible for the accuracy of the Legal Enti-ty reference data (Event data), and other Entity data presented to Unilei.
- 11.2In transmitting the data, the Legal Entity warrants its correctness and applicability within the scope of the LEI registration process. Unilei reserves the right to request additional documentation or data.
- 11.3The provided Legal Entity Event data is updated by Unilei. The Legal Entity is not charged for updates of Event data.
- 11.4An update of a Legal Entity Event data does not extend the Next Renewal Date.
- 11.5A non-exhaustive list of examples of Event data are Change of entity name, addresses, legal form, transformation of legal status and dissolution.
- 11.6If the Legal Entity becomes aware that Event data is lacking or incorrect, then the Legal Entity shall promptly notify Unilei.
- 11.7GLEIF may challenge Unilei on the Legal Entity Event data being inaccurate. If the data is challenged the Legal Entity shall re-spond to Unilei’s request to clarify the challenged data.
12 Document service
- 12.1Some LEI data registrations require the Legal Entity to provide documents e.g., annual financial accounts.
- 12.2Unilei may offer to retrieve these documents on behalf of the Le-gal Entity as an extra service.
- 12.3A charge for this service may apply. The Legal Entity is not charged for the document service without prior agreement.
13 Payment
- 13.1Payment shall be made prior to the delivery of Services unless otherwise agreed.
- 13.2Unilei accepts payment by credit card or bank transfer. In addi-tion to the agreed price, the Legal Entity bears any costs and fees to complete the payment to Unilei.
- 13.3The payment is charged to the Legal Entity unless a different Le-gal Entity is provided as invoice contact.
- 13.4If the Legal Entity paying for the Services shall be different from the Legal Entity being registered or renewed, e.g., a third party like attorney or accounting company, then the Legal Entity in-formation for the paying Legal Entity shall be registered via the Unilei website registration form in the section related to invoice information.
- 13.5The invoice is sent to the email provided by the Legal Entity or by other electronic service where available.
- 13.6Available options are presented at the Unilei website.
- 13.7The order may be cancelled until the registration or renewal pro-cess is initiated by Unilei.
- 13.8If the registration or renewal cannot be completed due to missing information, Unilei shall request the Legal Entity to provide the required information.
- 13.9If the Legal Entity does not supply the required information within ten (10) business days, Unilei is entitled to full payment for the service even though an active LEI is not delivered.
- 13.10If the Entity information in the Global LEI index is challenged and if the information isn’t verified or corrected, then the LEI may become inactive.
- 13.11Payment is neither partly nor fully refunded if the LEI becomes inactive or the Legal Entity, for any reason, doesn’t use the LEI.
- 13.12Payment is neither partly nor fully refunded if changes to GLEIF are made or GLEIF cease to operate.
- 13.13All prices and charges specified in the Unilei website: https://www.unilei.com may periodically be subject to review by Unilei, at which point Unilei may increase or amend any such fee.
- 13.14For an active Legal Entity, the new fees shall apply for the up-coming term, if or when the LEI is renewed.
14 Value Added Tax (VAT)
- 14.1Unilei is resident in Denmark. VAT is charged in compliance with the Danish/EU rules and regulations. It is the invoiced Legal Enti-ty’s sole responsibility to claim a VAT refund if the Legal Entity is entitled to such refund. Unilei provides an invoice. All other ac-tivities and documents necessary to claim a VAT refund rely on the Legal Entity.
15 Legal Entity resident in Denmark
- 15.1A Legal Entity resident in Denmark is charged Danish VAT of 25%.
16 Legal Entity resident in another EU member state than Denmark
- 16.1If the Legal Entity enters their VAT number in the payment process and Unilei can validate the VAT number, then VAT is not charged by Unilei. The sale is subject to reverse charge. The Legal Entity is liable for VAT.
- 16.2If Unilei cannot verify the validity of the entered VAT num-ber, 25% VAT is added to the invoice amount and shall be paid by the Legal Entity to Unilei.
17 Legal Entity resident in a non-EU member state
- 17.1A Legal Entity residing in a non-EU member state is not charged VAT.
18 Intellectual Property Rights
- 18.1Given that the LEI Record is comprised of only publicly available data, both the Legal Entity and Unilei agree that the LEI Record is not covered by copyrights under the Re-vised Berne Convention, and neither by any other intellec-tual property rights.
19 Privacy Policy
- 19.1Regulation (EU) 2016/679 on the protection of natural per-sons with regard to the processing of personal data and on the free movement of such data also called GDPR (General Data Protection Regulation) applies, cf. https://www.datatilsynet.dk/english/legislation.
- 19.2Data collected, processed, and shared when handling Legal Entity Identifier (LEI) mainly concerns information on com-panies, defined as Legal Persons.
- 19.3LEI information is made publicly accessible by public au-thorities. Most data collected is exempted from GDPR pro-tection regulation.
- 19.4All data is processed with care and securely.
- 19.5Communication between user and online services are Se-cure Socket Layer (SSL) encrypted for user privacy protec-tion.
- 19.6Unilei collects and stores information on Legal Entity repre-sentative by name, phone number and e-mail address. These are, according to GLEIF’s demands, kept for ten years.
- 19.7When demanded by GLEIF, these data are shared with GLEIF, LOU, and their partners. The information is used by Unilei for communication about LEI Services.
- 19.8When using payment cards, payment data is exchanged between the payment service provider and the customer only.
- 19.9Payment information is processed in compliance with appli-cable law.
20 LIMITATION OF LIABILITY
- 20.1The Legal Entity is solely responsible for results obtained from the use of the Services and for conclusions drawn from such use, for itself or the Legal Entity which the user represents.
- 20.2Unilei shall have no liability for any damage to the extent caused by errors or omissions in any information or scripts provided to Unilei by user in connection with the Services.
- 20.3Unilei’s liability to the Legal Entity, or the Legal Entity which the user represents, for any loss, including loss of profit, cost, claim, liability, or expense or reasonable attorney’s fees, arising out of, or related to the use of the Services shall be limited to the amount corresponding to one hun-dred (100) percent of the price of the Service delivered during the preceding twelve (12) months period.
- 20.4This limitation is cumulative and shall not be increased by the existence of more than one incident or claim.
- 20.5In no event shall Unilei be liable to the Legal Entity, or the Legal Entity which the User represents, for any indirect, special, consequential, or punitive damages.
21 Force Majeure
- 21.1 In no event shall the Unilei be responsible or liable for any failure or delay in the performance of its obligations (ex-cluding payment obligations) arising out of or caused by, directly or indirectly, forces beyond Unilei's reasonable con-trol, including without limitation strikes, work stoppages, accidents, acts of war or terrorism, civil or military disturb-ances, nuclear or natural catastrophes or acts of God, and interruptions, loss or malfunctions of utilities, communica-tions or computer (software or hardware) services.
22 Duration and Termination
- 22.1This Agreement, governed by these Terms and Conditions, shall remain in effect until either the Legal Entity or Unilei is dissolved or otherwise ceases to operate. In the case of Unilei, this includes ceasing to operate as an LOU.
- 22.2Notice of termination shall be submitted in writing by the terminating party and shall be effective upon receipt by the non-terminating party.
- 22.3Termination, shall be possible in the event of:
- 22.3.1A transfer of the Legal Entity's LEI to a different accredited LEI issuer or to GLEIF.
- 22.3.2The Legal Entity abandoning its status as Legal En-tity with an LEI.
- 22.3.3A deprivation of the LEI due to non-compliance of the Legal Entity with requirements of re-validation.
- 22.4Termination with immediate effect for cause in the event of severe or repeated violation of contractual duties, for which no cure is possible, or cure has been refused despite a rea-sonable cure period.
- 22.5Termination with immediate effect by the Unilei, and with-out any liability of Unilei for any damages caused by such termination, if the GLEIF accreditation of Unilei as LEI issu-er is terminated.
23 Governing Law And Dispute Settlement
- 23.1 This Agreement shall be governed by Danish law.
- 23.2Negotiation: Should any disagreement arise between the Parties in connection with the Agreement, the Parties shall in a co-operative and responsible manner seek to open ne-gotiations for the purpose of resolving the dispute.
- 23.3Danish courts: If the negotiation concludes without a resolution of the dispute, the dispute must be settled finally by the ordinary Danish courts according to the provisions set out in clause 23.4.
- 23.4The parties hereby irrevocably submit to the City Court of Copenhagen, Denmark, as the agreed venue in the first in-stance.
- 23.5For the sake of convenience only, the Agreement may be translated into other languages than English.
- 23.6In the event of any conflict arising out of the interpretation and/or performance of the Agreement, the version in the English language takes precedence and prevails over any other version in other languages.
